AKT Customer Design + Sales Agreement

DESIGN AGREEMENT

To my knowledge, the following is true about any phrases, icons, logos or any other design materials that I have provided to American Kart Threads (AKT): 

-I have the proper permissions to commercially distribute goods decorated with these items and as such I permit AKT to sell such goods on my behalf. 

-These items are not symbols of hate, racism, violence or any other inappropriate subject matter. 

-These items are not affiliated with any political organization. 

I understand that AKT has the right to reject or halt design services for me for any reason at any time. Under such circumstances, a full refund will be issued to me. 

I understand that I can revise my design 2 times free of charge, and that I will be charged $20 for each additional revision thereafter. 

I understand that the right to commercially distribute (sell) items with the finalized design(s) belongs solely to AKT until 1 calendar year from the listing date unless otherwise noted.

If I would like to be granted commercial privileges to my design, AKT will provide me with all of the design materials and image files if one of the following conditions are met: 

-If defined value of design(s) is less than $50, I may request commercial privileges to all design assets if: (1)The design has produced an AKT-share of profit greater than or equal to $50 or (2) I agree to pay a $50 buyout fee or (3) at least 1 year has elapsed since the delivery of the finalized design 

-If defined value of design(s) is more than $50, I may request commercial privileges of all design assets if: (1)My design has produced an AKT-share of profit greater than or equal to the design buyout value or (2) I agree to pay the design buyout value or (3) at least 1 year has elapsed since the delivery of the finalized design

I understand that if my design is an original design created for me by AKT, AKT reserves the right to commercially distribute the design as they please.

The following information will be confirmed via email acknowledgement at a later date: Design Fees, Design Files, Buyout Value, Ownership Date, Payment Information and any special conditions or exclusions to the above terms/conditions.

*Note: the purpose of this is to prevent customers from getting a design from  us and immediately selling with someone else. We love designing, but we are not a design firm. Our purpose in helping you create a design is to establish a long-term partnership in which we both benefit! 

SALES AGREEMENT

I have authorized American Kart Threads (AKT) to use my name, image and likeness in the form of the agreed upon merchandise design(s) (refer to design agreement) for use on merchandise to be sold on their website and social platforms.

I understand that AKT has the sole right to distribute and sell merchandise with the agreed upon merchandise design(s) unless otherwise noted. Any effort on behalf of myself or anyone else to sell or distribute goods decorated with these design(s) will be a violation of our partnership, and the partnership may be terminated. 

I have authorized AKT to set and change pricing on my items to match market conditions. 

-AKT will notify me at least 1 week in advance if pricing needs to change to maintain an adequate profit margin for both parties.

I understand that AKT will submit payment of my share of the gross profit within a week of March 31^st, June 30^th, September 30^th, and December 31^st of each applicable year via- an agreed-upon payment method.

I understand that it is my responsibility to report any earnings I make on AKT merchandise sales to any applicable government tax authorities. 

I understand that AKT reserves the right to terminate our partnership at any time, under any circumstances. 

-If the partnership is terminated without me violating the sales or design agreements, AKT will forfeit any design resources and current gross profit balance to me.

-If the partnership is terminated due to my violation of sales or design agreements, AKT may withhold all pending gross profits from sales. AKT also reserves the right to withhold any design resources from me.

The following information will be confirmed via email acknowledgement at a later date: Profit Share Percentages, Payout Method, Acknowledgement Expiration Date and any special conditions or exclusions to the above terms/conditions.
